About the role:
Xperi is looking for a talented Corporate Counsel to support our rapidly evolving businesses. You will be a member of the vendor contract procurement legal team, primarily drafting and negotiating contracts for Xperi’s procurement of products and services from third parties. The ideal candidate will also be able to support domestic and international licensing and other commercial agreements, and have experience with privacy laws and data processing agreements.
You will work closely with other product, cross-functional, and international teams and will impact the legal and business teams. The attorney will need to be an effective business partner who is able to calibrate risk, provide practical advice and solutions, lead negotiations, and close contracts quickly and efficiently with minimal supervision.
This position may be based in San Jose, CA (HQ) or Calabasas, CA (HQ2). Title and compensation to be commensurate with experience.
Key Responsibilities:
Draft, review and negotiate vendor contracts for the procurement of goods and services, including master services agreements and statements of work, vendor agreements, professional services agreements, IT agreements (i.e., SaaS, IaaS, PaaS), influencer agreements, marketing agreements, contractor agreements, facilities agreements, and licensing agreements.
Serve as primary legal contact and trusted business partner and provide timely and helpful resources in response to legal requests from internal clients.
Collaborate with purchasing, compliance, IT, finance, marketing, supply management, HR, and other business units at all levels throughout the organization to ensure that agreements comply with Xperi's policies and reflect Xperi's risk tolerance level.
Conduct due diligence, as may be necessary, in support of business transactions.
Support continuous improvement of standard forms of agreements and legal processes, including researching and monitoring laws and regulations applicable to Xperi's business and proposing updates to contract templates, contractual provisions, and corporate policies.
Provide timely counsel to internal clients regarding company policies, legal issues, and risk tolerance.
Conduct training across departments, as appropriate, on contract issues, internal policies, and procedures.
Basic Qualifications:
5 years of experience as a licensed attorney.
JD degree and membership in one state bar.
Preferred Qualifications:
2 years of experience at a national or international law firm.
Prior in-house experience.
Experience drafting and negotiating commercial contracts.
Familiarity with intellectual property and data privacy laws, including negotiating Data Processing Addendums.
Highly-motivated self-starter capable of working independently and taking the initiative to handle a high volume of complex legal matters.
Ability to understand complex contractual issues, assess risk, and provide clear and concise legal advice.
Strong project management skills, including managing complex transactions and leading internal efforts among cross-functional teams to begin and successfully conclude vendor negotiations for the procurement of goods and services in a timely manner.
Excellent organizational skills and ability to balance, prioritize, and lead simultaneous projects under deadline pressure that may require deliverables on short notice.
Experience advising clients on legal and contractual issues impacting business transactions, with a track record of building business relationships and gaining trust of internal clients.
Excellent analytical and problem-solving skills with a sophisticated understanding of the balance between legal/business risk and reward, and the ability to use independent judgment and creativity to resolve complicated contractual issues.
Sound judgment even in ambiguous situations.
Ability to use creative solutions, systems, and automation to drive innovation and results.
Aptitude to quickly learn new information with highly developed interpersonal skills.
Significant experience managing contract strategy processes through the entire contract lifecycle from negotiation to compliance and resolution.

The estimated base salary range for this full-time position is $129,412 - $165,000 plus bonus, equity, and benefits, and can vary if outside of this location. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, competencies, experience, market demands, internal parity, and relevant education or training.
